Terms of Reference for NICW Monthly Meetings

1. Purpose

The purpose of the meetings will be to discuss and agree National Infrastructure Commission for Wales (NICW) business.

2. Scope

Topics for discussion and agreement will include, but not be limited to, the work programme of the National Infrastructure Commission for Wales, including areas of research within the Commission’s remit, engagement with stakeholders, budget monitoring, and Welsh Government liaison.

3. Responsibilities

The Commission will use the meeting to:

  • Review work updates
  • Discuss issues relating to NICW business and the infrastructure sector
  • Monitor risks
  • Make decisions on key NICW business (including, but not limited to, NICW reports, budget and work programme)

4. Membership

The Commission will consist of:

  • Chair
  • Deputy Chair
  • 6 Commissioners

The meetings will be supported by the NICW Secretariat. Guests may attend upon request or invitation.

5. Meeting Schedule

Meetings will be held monthly (usually on a Friday). This will include up to three site visits a year, which will also include a NICW meeting as part of the itinerary.

6. Decision-Making Process

Decisions will be made by consensus and, if required, a majority vote. Any member disagreeing with a decision can have this recorded and published alongside the NICW decision

7. Reporting

Notes of the meeting will be published on the NICW and Welsh Government websites shortly after they have been approved in the following Commission meeting

8. Quorum

A quorum for the monthly commission meeting will be 50% of the total membership. Decisions can only be made if a quorum is present. If a quorum is not met, the meeting may proceed for discussion purposes, but no formal decisions will be made.

9. Review and Amendments

The Terms of Reference will be reviewed annually by the Commission.
